Terms of Service

These terms are a contract between you and upDevTeam LTD. By creating a GoDesk account, downloading the GoDesk software, or using godeskflow.com, you accept everything below. Read it.

TL;DR

GoDesk is provided 'as is'. The free software is covered by the GNU Affero General Public License v3.0; the hosted relay service is covered by these terms.

Our liability is capped, the software comes with no warranty, and we can suspend or terminate any account that breaches these terms. Mandatory consumer rights under EU law are not affected.

Important: sections 10 (Disclaimer), 11 (Indemnity), and 12 (Liability cap) are deliberately strong. Read them.

01Agreement to these terms

These Terms of Service (the 'Terms') govern your access to and use of (a) the GoDesk client software, (b) the godeskflow.com website, and (c) all related infrastructure and APIs (together the 'Service'). They form a binding agreement between you and upDevTeam LTD, a private company registered in the Republic of Cyprus under number HE 438173 with VAT number 10438173A ('upDevTeam', 'we', 'our', 'us').

If you accept these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, in which case 'you' refers to that entity. If you have no such authority, you must not use the Service on its behalf.

If you disagree with any part of these Terms, do not use the Service.

02What the Service is

The Service consists of an open-source desktop client and a hosted relay infrastructure that lets you remotely access devices you control or have permission to access. The client is a fork of RustDesk, distributed under the AGPL-3.0 licence.

The Service is provided to you on a free tier and, when launched, on paid tiers with quota, support, and feature differences. Specifications, limits, and pricing of paid tiers are described on the pricing page and may evolve.

Beta or pre-release features may be marked as such. Beta features are provided without any representation that they are fit for production use, and we may modify or remove them at any time.

03Open-source licence and these Terms

The GoDesk client source code is distributed under the GNU Affero General Public License version 3 (AGPL-3.0). You may copy, modify, and redistribute the source code under the terms of that licence. Nothing in these Terms reduces the rights you receive under AGPL-3.0 with respect to the source code itself.

These Terms apply to your use of the hosted Service that we operate (the relay servers, account system, websites, paid plans). They are independent of the AGPL-3.0 licence covering the source code.

If you self-host your own relay using the open-source code, only the AGPL-3.0 governs that deployment, and we accept no responsibility for it.

04Accounts

To use parts of the Service that require authentication, you must create an account. You agree that:

  • the information you provide is accurate, current, and complete;
  • you keep your credentials confidential and do not share them with anyone else;
  • you are responsible for everything that happens under your account, whether or not you authorised it;
  • you notify us promptly at info@godeskflow.com of any suspected unauthorised access.

You must be at least 16 years old (or the age of digital consent in your country, if higher) to create an account. We may refuse, suspend, or close any account at our discretion as described in these Terms.

05Acceptable use

You agree not to use the Service to:

  • access any device, network, or account without the clear, informed permission of its owner or rightful operator;
  • violate any applicable law, regulation, court order, or third-party right, including export-control, sanctions, and child-safety law;
  • distribute malware, ransomware, spyware, stalkerware, or any other malicious software;
  • send unsolicited bulk messages, perform credential stuffing, port scanning, or any other abusive automated activity;
  • interfere with the integrity or performance of the Service, the underlying networks, or other users' connections;
  • reverse-engineer, probe for vulnerabilities, or attempt to gain access beyond what these Terms grant, except as expressly permitted by law or our responsible-disclosure policy;
  • use the Service to facilitate stalking, harassment, surveillance, or any covert monitoring without informed consent;
  • resell or commercially redistribute the hosted Service without a written commercial agreement with us.

Detailed prohibitions and our enforcement powers are described in the Acceptable Use Policy, which is incorporated into these Terms by reference.

06Fees, billing, and taxes

The free tier is offered at no charge but with the quotas and limitations published on the pricing page. We may change quotas with reasonable notice; any reduction takes effect no sooner than 30 days after we notify users.

When paid tiers launch, fees are billed in advance for the chosen subscription period (monthly or annual) and are due immediately. All fees are non-refundable except as stated in the Refund Policy or where mandatory law requires otherwise.

Fees are exclusive of VAT and other indirect taxes. Where required by Cypriot or EU law, VAT is added to your invoice at the applicable rate.

If a payment fails, we may retry the charge, suspend your access until payment succeeds, and ultimately downgrade or close the account. You remain liable for any outstanding amounts.

07Third-party services

The Service relies on third-party providers (Supabase, Hetzner, Cloudflare, Stripe, and others listed in the Privacy Policy and DPA). Their availability, terms, and conduct are outside our control.

Where you connect the Service to other tools (operating systems, browsers, identity providers, etc.) the terms of those tools apply. We are not responsible for any third-party act or omission.

08Intellectual property

The 'GoDesk' name, the godeskflow.com brand, the visual design of our website, our logos, and the proprietary additions we make on top of the AGPL-3.0 source code are owned by upDevTeam LTD or its licensors and are protected by intellectual-property law. Nothing in these Terms grants you any right in our trademarks.

You retain ownership of any data you transmit through the Service. By transmitting data through the Service you grant us the limited, non-exclusive licence we need to host, route, back up, and display that data for the purpose of operating the Service.

If you contribute code or content to the GoDesk open-source repository, the AGPL-3.0 licence and any contributor agreement we publish at that repository govern those contributions.

09Feedback

If you send us suggestions, ideas, or feedback, you grant us a perpetual, irrevocable, royalty-free, worldwide licence to use them in any way without obligation to you. You waive, to the extent permitted by law, any moral rights in such feedback.

10Disclaimer of warranties

THE SERVICE AND THE GODESK SOFTWARE ARE PROVIDED 'AS IS' AND 'AS AVAILABLE', WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, UPDEVTEAM LTD DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that any specific result will be achieved by your use of the Service.

You acknowledge that remote-desktop software is inherently sensitive and that the Service is not designed for use in high-risk environments where failure could lead to death, personal injury, or environmental damage. You must not use the Service in such environments.

Nothing in this section limits any warranty that cannot be excluded under applicable mandatory law (including, where relevant, the EU consumer-rights regime).

11Indemnity

You will defend, indemnify, and hold harmless upDevTeam LTD, its officers, directors, employees, and agents from and against any third-party claim, damage, loss, liability, cost, and expense (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your breach of these Terms or the Acceptable Use Policy; (c) your violation of any law or any right of a third party, including intellectual-property and privacy rights; or (d) any data or content you transmit through the Service.

We will give you reasonable notice of any claim subject to this indemnity and you will conduct the defence using counsel of reasonable experience, subject to our right to participate at our own cost. You may not settle any claim that imposes any obligation on us without our written consent.

12Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF UPDEVTEAM LTD ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) ONE HUNDRED EUROS (EUR 100) OR (B) THE AMOUNT YOU PAID TO UPDEVTEAM LTD FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

In no event will upDevTeam LTD be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profit, revenue, goodwill, business opportunity, anticipated savings, or data, however caused and on any theory of liability, even if we have been advised of the possibility of such damage.

These limitations apply whether the claim is in contract, tort (including negligence), statute, or any other theory.

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, gross negligence, intentional misconduct, death or personal injury caused by our negligence, or any other liability that cannot be excluded under applicable law.

If you are a consumer with a residence in the European Union, your statutory rights under EU consumer-protection law (including Directive 2011/83/EU) are not affected by this section.

13Suspension and termination

You may stop using the Service and close your account at any time from the account settings page. Closing your account does not entitle you to a refund except as stated in the Refund Policy.

We may suspend or terminate your access immediately, without notice and without refund, if we reasonably believe you have breached these Terms, the Acceptable Use Policy, or applicable law, or if continued provision of the Service to you exposes us, our infrastructure, or other users to material risk. We may also suspend or terminate the Service or any feature with reasonable notice for any other reason.

Upon termination of your account, your right to use the Service ends. Sections that by their nature should survive termination (including sections 8, 9, 10, 11, 12, 16 and 18) survive termination.

Where we terminate without cause, we will, on request, refund any prepaid fees corresponding to Service that has not yet been delivered.

14Force majeure

Neither party is liable for any failure or delay in performing its obligations (other than payment obligations) caused by an event beyond its reasonable control, including acts of war, insurrection, riot, civil unrest, embargoes, sanctions, fire, flood, earthquake, severe weather, telecommunications or internet failures, denial-of-service attacks, hosting-provider outages, pandemic, or governmental action.

15Modification of these Terms

We may modify these Terms from time to time. The current version is always posted at godeskflow.com/terms. We will notify you of material changes by email (where we have your address) and by posting a notice on the website at least 30 days before the change takes effect, except where the change is required by law to take effect sooner.

If you continue to use the Service after a change becomes effective, you accept the modified Terms. If you do not accept them, your remedy is to close your account before the change takes effect.

16Governing law and jurisdiction

These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of the Republic of Cyprus, without regard to its conflict-of-laws principles.

The courts of Nicosia, Cyprus have exclusive jurisdiction over any dispute, controversy, or claim arising out of or in connection with these Terms, except that we may seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual-property rights or confidential information.

If you are a consumer resident in the European Union, you may also bring an action in the courts of your country of residence under mandatory consumer law. The applicable consumer-law protections of your country of residence are not affected by this clause.

17Consumer dispute resolution

If you are a consumer in the European Union, you may use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr to submit a complaint. We are not currently obliged to participate in alternative-dispute-resolution proceedings before a consumer-arbitration body.

We are happy to try to resolve any dispute informally first; please write to info@godeskflow.com before initiating formal proceedings.

18General

The following general clauses apply to these Terms.

  • Entire agreement. These Terms, together with the documents they reference (Privacy Policy, Cookie Policy, DPA, Acceptable Use Policy, Refund Policy), constitute the entire agreement between you and us about the Service and supersede any prior agreements or understandings.
  • Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full force, and the invalid provision is to be interpreted to give it the maximum effect permitted by law.
  • No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of all or substantially all of our assets, or to an affiliate.
  • No third-party beneficiaries. Except as expressly stated, no third party has any right to enforce these Terms.

Capitalised terms used but not defined in these Terms have the meanings given to them in the Privacy Policy or the DPA. If a translated version conflicts with the English version, the English version controls.
